什么是Carveout

股權切離（EquityCarve-outs）股權切離又叫分拆上市，是指母公司將資產的一部分轉移到新設立的公司，再將子公司股權對外出售，在不喪失控制權的情況下給母公司帶來現金收入的方法。

從法律意義上將子公司的經營從母公司的經營中分離出去的行為法。認購這些股權的人可以是母公司的股東，也可以不是母公司的股東。母公司的股東在擁有股權切離方式成立的公司股票后，可以自由改變投資到這兩家公司的組合比例，增加投資決策的靈活性而在此之前，這些股東只能通過母公司的投資，才能投資到子公司，其投資活動是單一取向的。
